Terms of Service

This is a template text that must be reviewed and approved by a legal advisor before commercial launch.

These terms govern the use of the plus minus platform (the "Platform") by businesses ("Merchants") and their customers.

1. The service

The Platform provides software-as-a-service to create online stores and manage orders, branches, staff and payments. The Merchant is the seller and service provider to its customers and is responsible for its products, prices, licenses and legal and tax obligations.

2. Account and subscription

  • Merchants must provide accurate information, protect their credentials and enable two-step verification for sensitive accounts.
  • Subscriptions are billed per the selected plan and renew automatically unless cancelled before the period ends. Invoices are issued electronically.
  • Late payments receive a grace period, after which the service may be suspended until payment.

3. Payments

Merchants connect their own payment provider account; customer payments settle to the Merchant under its provider agreement. The Platform does not hold Merchant sales unless agreed otherwise in writing. Provider fees are the Merchant's responsibility.

4. The Marketplace app and ordering from stores

  • The Marketplace app lists stores on the Platform and lets you order from them. The store is the seller and service provider, responsible for its products, prices, availability, fulfilment, delivery and returns under its own policy. The Platform is not a party to the sale.
  • Prices and fees (including delivery fees) are set by the store and shown before you confirm the order.
  • Payment goes directly to the store: online through the store's own payment provider, or cash / at the branch as the store accepts. Wallet balances belong to each store and cannot be moved between stores.
  • Customers must give accurate details and share the handover code only with the driver when receiving the order.
  • Stores in the app are ordered by distance, search and the category the customer chooses.

5. Drivers

Each merchant adds its own drivers, agrees with them directly and is responsible for them. The Platform does not employ drivers or provide independent drivers; it only provides the delivery management tool. Drivers must protect customers' data and use it only for the delivery.

6. Acceptable use

Using the Platform to sell unlawful products or services, infringe third-party rights or send marketing messages without consent is prohibited. Violating stores may be suspended following a clear notice procedure, except in urgent cases.

7. Data and privacy

The Merchant is the controller of its customers' data; the Platform processes it on the Merchant's behalf to provide the service. See the Privacy Policy.

8. Availability and liability

The Platform uses reasonable care for service continuity and backups and is not liable for indirect damages. Enterprise service levels are agreed separately.

9. Termination and account deletion

Merchants may cancel at any time and may export their data before termination. Data is deleted after the retention period in the Privacy Policy unless the law requires otherwise. Customers can delete their account at any time as described in Account deletion.
